       STATUTE

of the association of

Polish Guild of Gutenberg Knights

                                                            A consolidated text

 

I. Name, legal form, headquarters

 

1/ Polish Guild of Gutenberg Knights is an association operating under the Law of 7 April 1989 - Law on Associations - Journal of Laws, no. 80, pos. 104, as amended /, as well as under this statute.

 

2/ Polish Guild of Gutenberg Knights, hereinafter referred to as the Guild, is a member of the European Confraternity of Gutenberg Knights based in Paris, hereinafter referred to as the European Confraternity.

 

3/ The Guild is a legal person, acting on the basis of the voluntary work of its members. To develop its business the Guild may employ workers.

 

4/ The seat of the Guild remains in the capital city of Warsaw.

 

5/ The Guild develops its activity on the territory of Poland and abroad.

 

6/ The Association may engage in business activities on general principles laid down in separate legislation. Income from the Association's business activity helps to achieve its statutory objectives and may not be distributed among its members, even if they are the employees of the Association.

 

II. The Guild's Objectives

 

The Guild is a voluntary and self-governing association, founded in order to:

 

  1. spread and promote Polish culture in locally and abroad,

 

  1. popularize and care for Polish language, including literature at home and abroad, 

 

  1. care for and popularize foreign languages and literature, also by organizing training courses, as well as running own language schools,

 

  1. build, develop and promote information society, among others through the creation and promotion of modern systems and information technologies,

 

  1. promote the idea of ​​universal and free communication between people,

 

  1. spread the idea of just and fraternal Europe, inter alia through the dissemination of knowledge on the functioning of the European Union,  

 

  1. disseminate and preserve the printed word,

 

  1. improve, develop and promote the art of printing and other forms of the communication of thoughts, text and images, including digital technology,

 

  1. further develop the multimedia industry with particular emphasis on the activities of printing and publishing, inter alia by doing the following:

 

  • organizing courses, seminars, conferences,
  • integrating the environment,
  • preparing analyses and reports,
  • acquiring and creating the sources of co-financing,
  • closely cooperating with other economic sectors, organizations, local authorities and government bodies and institutions in the country and abroad,
  • running own schools and universities,

 

  1. lead research and education activities within the multimedia sector,

 

  1. publish books, magazines, newspapers and digital publications,

 

  1. promote and develop cultural education,

 

  1. organize courses, trainings, promotional campaigns and conferences related to all areas of the Guild's statutory activity,

 

  1. seek support and promote talented people, especially children and youth,

 

  1. promote reading and the spread of education, especially among children and youth,

 

  1. promote and develop libraries, including multimedia libraries,

 

  1. promote and develop lifelong learning, including vocational training,

 

  1. support and develop crafts, 

 

  1. actively participate as a mediator and an expert in the processes of settlement of disputes between business entities, operating in the fields of economy, which constitute the area of the Guild's ​​operation

 

These objectives will be achieved due to the following:

  • cooperation with the authorities of the Republic of Poland at each instance,
  • cooperation with Polish and international institutions and enterprises,
  • maintaining close relationship with the Grand Chapter of the European Confraternity with its headquarters in Paris,
  • providing opinions, consulting and providing guidance on issues and problems related to the implementation of the statutory objectives,
  • organization of events and projects aimed at the popularization and implementation of statutory objectives,
  • running businesses.

 

 

 

 

 

 

 

III. Members.

 

1/ The members of the Guild are divided into ordinary and honorary ones as well as patrons.

Grand Master of the European Confraternity of the Knights of Gutenberg can give a title of the Great Polish Intendant, but this function as well as the title remain honorary.

 

2/ Ordinary Members are divided into the following groups: Dignitaries / Officers / and the Knights. The title of Dignitary / Officer / is entitled to these members of the Guild, who perform certain functions at the Guild.

 

3/ A Patron may be a natural or legal person interested in the activities of the Guild, who have declared financial or factual assistance in its favor.

A legal person acts within the Guild through their representative.

 

4/ The title of a honorary member is awarded by the Grand Chancellor.

 Honorary Members are exempt from paying membership fees.

 

5/ The founders of the Guild become its members from the moment of their registration.

 

6/ People who accede the Guild after their registration become ordinary members or patrons at the time of their adoption by the Board - the Chapter, on the basis of a written declaration. Each new Knight must have two introductory persons. On the above rules foreigners may become the members of the Guild.

 

7/ The membership shall be lost, depending on its type, as a result of the following:

  • a waiver of an ordinary member or a honorary patron placed before the Chapter and submitted in writing one month in advance,
  • a loss of legal personality in the case of members - patrons,
  • the provisions of the Disciplinary Court regarding ordinary members or patrons - in case of a bright breach of the provisions of this Statute, decisions of the authorities of the Guild, as well as in the case of behavior contrary to legal and ethical principles.
  • in case of death.

The decision of the Disciplinary Court may be appealed to the General Assembly within 30 days of its receipt to the member concerned. The decision of the General Assembly is final.

 

8/ The rights of the Guild's members, depending on the type of membership are as follows:

Ordinary and honorary members, as well as patrons, are entitled to:

 

  • participate in events and projects undertaken by the Guild or the European Confraternity,
  • use these goods of the Guild, which are intended for shared use,
  • ordinary members enjoy voting rights at the General Assembly of Members, and honorary members posses active and passive voting rights regarding the authorities of the Guild, patrons have the right to participate in General Assemblies as advisors.

 

9/ Duties of the Guild's members, depending on the category, are as follows:

 

Ordinary members and patrons should:

 

  • actively participate in the activities of the Guild, and in fact participate in the meetings of the Guild in person or by proxy
  • adhere to the provisions of the Statute and to the decisions of the Guild and the European Confraternity,
  • not pursue any activity inconsistent with the objectives of the Guild and the European Confraternity.

 

Ordinary members and patrons should also:

 

  • support events organized by the Guild and the European Confraternity,
  • retain full discretion in the field of internal affairs of the Guild and the European Confraternity.

 

Ordinary members should also:

 

  • pay a registration fee in an amount equal to three times the annual contribution,
  • pay regular contributions, the amount and frequency of which are determined by the General Assembly of Members at the request of the Management - The Chapter of the Guild.

 

IV. Authorities of the Guild

1 /The authorities of the Guild include the following:

  • The General Assembly of Members,
  • The Board - called the Chapter,
  • Audit Committee,
  • Disciplinary Court.

 

2/ If the statute does not provide otherwise, the provisions of the Guild's authorities are taken by a simple majority vote in the presence of at least half of the members at the General Assembly of Members and 2/3 of the members in the case of the other organs of the Guild.

 

2a/ Resolution of the General Assembly of Members passed by a simple majority of votes in the presence of:

1/ the first time - the number of members specified in the point IV.2

2 /in the second term, appointed on the same day 30 minutes after the

first term - regardless of the number of people eligible to vote.

 

3/ The Chapter of the Guild is the highest governing body of the Guild.

 

4/ The annual General Assembly of Members shall be convened by the Chapter at least once a year. For this purpose, each member is sent registered letters at least 2 weeks before the Assembly date. Instead of a registered letter a notification can be sent to a member by e-mail, if they have given their written consent stating the address to which the notification should be sent.

 

5/  Extraordinary General Meeting of Members shall be convened by the Chapter, at the request of any member of the Chapter, the Audit Committee or 1/5 of the total number of members of the Guild.

The request to convene meetings should include date and topic.

 

6/ Each member has one vote at the General Assembly of Members.

 

7/ General Assembly chooses the Chapter, the Audit Commission and the Disciplinary Court.

 

8/ The Chapter comprises of the following: President of the Chapter, entitled to the title of the Grand Chancellor and the Deputy Chairman, using the title of Vice-Chancellor. President of the Chapter and his deputy are elected by the General Assembly, after consultation with the Grand Master. The terms of office of the President and his deputy last for 7 years. This term of office will be extended for a further period of 7 years old, unless the General Assembly with 2/3 majority decides otherwise. Chapter Resolutions are taken by simple majority. In case of a tie in the vote of the Chapter, the Grand Chancellor's vote decides.

 

9/ The Audit Committee and the Disciplinary Court shall consist of three members each. The term of office of those bodies lasts 7 years. Detailed procedures and the rules of operation of the Disciplinary Court are determined by the rules adopted by the Court.

 

10/ In the case of resignation, exclusion or death of a member of the Guild's authorities during the term of office, the composition of these authorities is supplemented from the non-selected candidates in order of obtained votes.

 

V. Jurisdiction of the Guild.

 

1 /The jurisdiction of the General Assembly includes the following:

  • approving the budget and schedule of activities,
  • approval of financial statements,
  • developing procedures for the selection of the members of the Guild,
  • considering appeals from the provisions of the Chapter and the Disciplinary Court in the cases provided the statute,
  • granting of honorary membership,
  • determining the amount and frequency of contributions,
  • passing resolutions to amend the Statute and the dissolution of the Guild.

 

 

2/ Resolutions on the dissolution of the Guild are taken only by a qualified 2/3 majority of votes in the presence of 2/3 of all members.

Resolutions on amendments to the Statute shall be taken only by a qualified 2/3 majority of votes in the presence of at least ½ of the total number of members. The adoption of the above resolutions is always consulted with the Grand Master of the European Confraternity.

 

3 /The jurisdiction of the Audit Committee includes the following:

  • ensuring the correctness of the Guild's actions in the light of applicable laws and the Statute,
  • controlling the Guild's financial activities,
  • preparing reports on the Guild's financial activities.

 

4/ The Disciplinary Court ensures respect for the rights of the members of the Guild, the provisions of this Statute, resolutions and other acts of the Guild's imperious bodies as well as ethical principles.

 

The Court shall initiate disciplinary proceedings in relation to ordinary members and patrons - after a relevant request by one of the Guild's bodies or one of the members. The court may punish a member with a reprimand or deprive them of membership. The Court's ruling may be appealed to the General Assembly.

 

 

5/ The powers of the Chapter include the following:

 

  • managing the Guild's current activity,
  • implementing resolutions and decisions of the General Assembly,
  • appointing commissions, committees, teams and sections, necessary for the efficient operation of the Guild,
  • determining budget estimates,
  • managing the assets of the Guild,
  • deciding on the purchase and sale of real estate,
  • convening of the General Assembly,
  • reporting on its activity to the General Assembly of Members.

 

6/ The voting right may be exercised by a member of the Guild in person or by proxy.

 

VI. Revenues of the Guild

 

The Guild's property arises from the following:

  • the entry fee and membership fees,
  • donations, legacies,
  • income from own activities, including economic activities,
  • income from the assets of the association,
  • the generosity of the public,
  • grants.

Under existing regulations the Guild may accept donations, inheritances, bequests, receive grants and use public generosity. The income from the economic activity of the Guild serves to achieve its statutory objectives.

 

VII. Liquidation of the Guild

1/ In the case of the liquidation of the Guild, the General Assembly takes a decision on the allocation of the property.

 

2/ Grand Chancellor is an official liquidator of the Guild.
